Terms and Conditions

1.1. These Terms and Conditions (“Terms”) govern your access to and use of the Lawyers & Client platform, including its website, mobile application, and related services (collectively, the “Platform”), which is owned and operated by Abe & Asotie LP (the “Company”, “we”, “us”, or “our”). 1.2. By accessing, browsing, registering on, or using the Platform or any part thereof, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. 1.3. If you do not agree with any provision of these Terms, you must not access or use the Platform. 1.4. By accepting these Terms, you represent and warrant that: a. you are at least 18 years of age and have the legal capacity to enter into a binding agreement; and b. where you accept these Terms on behalf of a company or other legal entity, you have full authority to bind such entity to these Terms.

2.1. The Platform is a technology service that facilitates connections between individuals or entities seeking legal services (“Clients”) and independent legal practitioners (“Lawyers”). 2.2. The Company is not a law firm and does not provide legal advice, legal representation, or legal services of any kind. 2.3. The Company does not employ, control, or supervise Lawyers and is not responsible for the quality, accuracy, or outcome of any legal services provided by Lawyers.

3.1. Nothing in these Terms or your use of the Platform shall be construed as creating a lawyer–client relationship between you and the Company. 3.2. A lawyer–client relationship arises solely between a Client and a Lawyer and only upon the Lawyer’s acceptance of an engagement, subject to any separate terms agreed between them.

4.1. Access to certain features of the Platform may require registration of an account. 4.2. You agree to: a. provide accurate, complete, and up-to-date information; b. maintain the confidentiality of your login credentials; and c. promptly notify us of any unauthorised use of your account. 4.3. You are solely responsible for all activities conducted through your account. 4.4. The Company reserves the right to suspend or terminate any account that violates these Terms.

5.1. The Platform enables Clients to: a. search for and connect with Lawyers; b. submit legal enquiries; c. communicate with Lawyers via messaging or other available tools; and d. access-related services made available on the Platform. 5.2. The Platform enables Lawyers to: a. create and maintain professional profiles; b. communicate with Clients; and c. offer legal services independently.

6.1. Lawyers represent and warrant that they: a. are duly licensed and authorised to practice law in their relevant jurisdiction(s); b. are in good standing with applicable regulatory authorities; and c. will comply with all applicable laws, rules, and professional obligations. 6.2. Lawyers are solely responsible for: a. the legal services they provide; b. maintaining client confidentiality; and c. ensuring compliance with applicable professional conduct rules. 6.3. The Company may conduct verification checks, but does not guarantee the accuracy, completeness, or validity of any Lawyer’s credentials.

7.1. Certain services on the Platform may be subject to fees. 7.2. Payments may be processed through third-party payment service providers. 7.3. The Company may charge service or platform fees, which shall be disclosed where applicable. 7.4. The Company is not a party to any fee arrangement between Clients and Lawyers and shall not be liable for any disputes arising therefrom.

8.1. The Platform may provide tools for messaging, file sharing, and other forms of communication. 8.2. You agree not to upload, transmit, or share any content that is unlawful, harmful, misleading, or infringes the rights of any third party. 8.3. The Company may store or monitor communications for security, compliance, and service improvement purposes, subject to applicable law.

9.1. The Company implements reasonable safeguards to protect user information, but does not guarantee absolute confidentiality. 9.2. Any legal privilege or confidentiality applies solely between Clients and Lawyers, and not with the Company. 9.3. You acknowledge that you share information on the Platform at your own risk.

10.1. You agree not to: a. use the Platform for any unlawful or fraudulent purpose; b. misrepresent your identity or qualifications; c. interfere with the security or operation of the Platform; or d. harass, abuse, or harm other users.

11.1. All intellectual property rights in the Platform, excluding user-generated content, are owned by the Company or its licensors. 11.2. You are granted a limited, non-exclusive, non-transferable licence to use the Platform in accordance with these Terms.

12.1. The Platform may integrate or rely on third-party services. 12.2. The Company does not control and is not responsible for the performance, availability, or practices of such third parties.

13.1. The Platform is provided on an “as is” and “as available” basis. 13.2. The Company makes no representations or warranties regarding: a. the accuracy or completeness of Lawyer profiles; b. the quality or suitability of legal services; or c. the outcome of any legal matter.

14.1. To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform. 14.2. The Company’s total liability shall not exceed the amount paid by you (if any) for use of the Platform.

15.1. You agree to indemnify and hold harmless the Company from any claims, liabilities, damages, or expenses arising out of: a. your use of the Platform; b. your breach of these Terms; or c. your interactions with other users.

16.1. The Company may suspend or terminate your access to the Platform at its discretion, including where: a. you breach these Terms; b. required by law; or c. necessary to protect the Platform or its users. 16.2 Notwithstanding 13.1 above, certain provisions of these Terms and Conditions, such as intellectual property rights, limitation of liability, indemnification, and dispute resolution, shall, by their nature, survive termination.

17.1. These Terms shall be governed by and construed in accordance with the laws of Nigeria. 17.2. The parties shall use reasonable efforts to resolve disputes amicably before resorting to formal proceedings.

18.1. Your use of the Platform is subject to our Privacy Policy, which is compliant with the Nigeria Data Protection Act 2023. 18.2 By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by the Privacy Policy.

19.1. The Company reserves the right to amend these Terms at any time. 19.2. Continued use of the Platform constitutes acceptance of any updated Terms.

20.1. These Terms and Conditions shall be governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be resolved through good-faith negotiations. If unresolved within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Mediation Act 2023 (Nigeria). The seat of arbitration shall be Lagos, Nigeria. 20.2. Nothing in this clause shall prevent either party from seeking injunctive relief from a court of competent jurisdiction.

21.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 21.2. Continued use of the Platform constitutes acceptance of any updated Terms. These Terms constitute the entire agreement between the user and us concerning use of the Site. 21.3 These Terms constitute the entire agreement between the user and us concerning use of the Site. 21.4 Failure by us to enforce any provision shall not constitute a waiver of that provision.
